Here is the agreement we are currently negotiating with Salem State College:

Agreement between Explorers Institute for Learning in Retirement and Salem State College

The Purpose of this agreement is to establish a working relationship between Explorers and its sponsor, Salem State College, and to make that relationship effective and continuous.

The Salem State College Explorers Institute for Learning in Retirement Agrees:

1. Explorers shall be self-governed under its by-laws. It will maintain its own administrative and fiscal policies and procedures and observe all applicable administrative regulations, policies and procedures of Salem State College. These include non-discrimination in public accommodations on the basis of race, color, national origin, ancestry, age, sex, religion, disability or sexual orientation in accordance with College rules and regulations, state and federal laws.

2. Explorers will deposit membership dues and other incoming monies in a special Explorers account of Salem State College <over which Explorers has sole signatory power>. Monies will be dispersed per an annual budget as approved by the Explorers Board. All expenditures and reimbursements will be requested in writing.

3. The Institute will pay all direct costs which it incurs, such as printing, mailing, telephone, copy machine, administrative support and office space, 1/12 of the annual rent of the Downtown Conference Center.

4. It will provide its own basic supplies, such as paper, toners and classroom equipment, fax copies.

5. Explorers will provide SSC with copies of Board meeting minutes and its newsletter. It will designate members for contacts with the College when necessary, communicate all initiatives for policies, plans and programs through the chair of the designated committee created for the purpose to Salem State College’s appointed liaison person to Explorers.

6. Explorers will determine its own curriculum, identify group leaders, and plan and conduct its social activities.

7. Explorers will provide volunteer assistance, when available, to the College and its educational programs.

8. Explorers will inform the College of its fund raising activities.

Salem State College Agrees:

1. The College recognizes its commitment as required by the Elderhostel Institute Network to be a sponsoring institution of the Salem State College Explorers. It will assign a staff person as liaison between the College and Explorers, and it will provide public notice of the connection between Salem State College, as sponsoring institution, and Explorers.

2. Salem State College will provide in-kind support such as classrooms, meeting places, utilities and specialized equipment (i.e., teaching aids, computers) when such items are available. The College will provide fiscal management in accordance with Salem State College policies and procedures and applicable state and federal laws.

3. The College will make its best efforts to provide, set a goal of providing permanent, contiguous classrooms and meeting facilities for Explorers.

4. The College will designate a liaison person to work with Explorers.

5. The College will encourage staff to continue to participate in Explorers programs.

6. The College will provide Explorers members with library privileges through members’ local library cards or, should an Explorer not have a personal card issued by a Massachusetts town or city, through a card issued through the Explorers Office Administrator. Discounted rates, as available to students and applicable for events and activities offered by Salem State College and/or available senior citizen discounts for
educational events and selected athletic and theatrical events will apply to Explorers. The College will provide parking with approved documentation in designated locations in specified campus lots, athletic facilities as available, and parking permits at no charge.

7. College production resources for printed materials will be made available to Explorers as time permits. Salem State will make available to Explorers its mailing facilities and privileges at the prevailing rates, as well as discounts through College contracts with vendors and suppliers.

8. Explorers will be covered under the Salem State College insurance plans.

9. Salem State College will provide advice for Explorers’ fund-raising activities.

Governing Law and Venue: This agreement shall be governed by the laws of the Commonwealth of Massachusetts without regard to its rules governing choice of law, and no action brought upon or arising out of the agreement shall be brought or maintained elsewhere than in a court of competent jurisdiction within the Commonwealth.

Amendment and/or Discontinuance: This agreement shall not be altered or amended or discontinued save by a written instrument executed by both the College and Explorers within 60 (sixty) days of notice by either. Forbearance or indulgence by the College shall not constitute a waiver of any right or entitlement hereunder or of any relief or remedy
otherwise available to it.

Thanks for your agreement, Don, and good luck with it. Ours dates back to 1993 and is as follows - probably pretty simple:

AFFILIATION AGREEMENT between the Norwalk Community-Technical College and
the Lifetime Learners Institute

The Institute's objectives and purpose are to meet the learning needs of and accrued social advantages for the local area retirement community. Educational offerings will be primarily developed, designed and taught in the form of study group programs by the members themselves with the cooperative sponsorship of the Norwalk Community-Technical College.

All relationships between the College and the Institute shall be covered by this agreement which shall not be superseded by other Institute documents such as By-laws.

The Institute shall be governed by its own By-Laws.

The Institute's administrative relationship with the College will be through the Division of Continuing Education.

The College shall be represented on the Board of Directors of the Institute as a voting Board member.

Thhe College shall keep the Institute informed on the availability and location of classrooms.

The Institute's program material or lecture subject matter shall not duplicate courses given by the College and shall be approved by the College.

The College shall not incur any expense for lecturers.

The College will provide the following to the Institute to a reasonable extent at no charge:
1. Classroom space as available during daytime hours.
2. Use of audio-visual equipment.
3. Use of copying equipment including paper.
4. Use of the College's tax-exempt mailing permit, staff, and equipment for Institute bulk mailings, but not the cost of the postage.
5. Use of the address of the College and its mail reception services.
6. Utilization of the College's library, subject to conditions set
by the College through its Librarian.

This agreement, including any revisions, shall be valid only upon written approval by both the College and the Institute.
